Terms of Service

1. Acceptance of Terms

By accessing or using Quint Ally ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Quint Ally is an AI-powered networking platform for verified business founders. The Service includes:

• AI-driven matchmaking between complementary founders
• Personalized Command Center with AI assistance
• Sarudo Ally lead generation and outreach tools
• Peer-to-peer messaging and deal rooms
• Ally Score reputation system
• Referral tracking and verification

3. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Be a legitimate business owner or authorized representative
• Complete our business verification (KYB) process
• Provide accurate and truthful information
• Maintain the security of your account credentials

We reserve the right to refuse service, terminate accounts, or cancel memberships at our sole discretion.

4. Membership Tiers

Silver membership is free. Quint Ally does not charge for Silver, and it carries no dues or renewal fees. Access itself is granted on verification of your business and an invitation from an existing member — it cannot be purchased at any tier.

• Silver: the standing every verified member holds. Free, with no expiry.
• Gold: a paid membership at US$100 per month, billed as a recurring subscription. It confers higher usage allowances and a larger invitation allowance. Gold does not grant access — verification and an invitation remain the only way in. Gold held by Sarudo owners is granted with that product and is permanent; subscribed Gold continues while the subscription is maintained and ends when it lapses. Gold is not yet available for purchase.
• Sarudo: a separate paid product for teams, providing a private Sarudo AI instance. Pricing is agreed directly; it is not a membership fee, and Sarudo owners hold Gold standing.

Where Quint Ally facilitates a transaction between members, we may hold funds until delivery is confirmed and deduct a service fee from the amount released to the receiving party. Any such fee is disclosed before the transaction proceeds and is separate from any membership fee.

Members are expected to maintain active engagement (for example, responding to AI-brokered introductions in a timely manner). Persistently inactive accounts may be subject to review under our community charter.

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any unlawful purpose
• Impersonate another person or business entity
• Submit false or misleading information during verification
• Spam, harass, or send unsolicited messages to other members
• Attempt to discover, browse, or search the member directory (the "dark network" principle)
• Use automated systems or bots to access the Service
• Reverse-engineer, decompile, or extract data from the Service
• Share your account credentials with others
• Upload malicious code, viruses, or harmful content
• Violate any applicable local, state, national, or international law

6. Moderation & Enforcement

We employ a 3-strike moderation system:

• Strikes 1-2: AI-powered coaching and warning
• Strike 3: Account suspension (shadow-ban) — no new matches, existing chats frozen

Reported behaviors include: excessive sales pitch (salesy), spam, inappropriate content, harassment, or violation of our networking charter. Suspended users may appeal by contacting support@quintally.com.

7. AI-Powered Features

The Service uses artificial intelligence for:

• Profiling your business strengths and weaknesses
• Matching you with complementary founders
• Drafting personalized sales emails on your behalf
• Arbitrating referral disputes
• Coaching users on networking best practices

You acknowledge that AI-generated content may not always be accurate or appropriate. You are responsible for reviewing and approving AI-drafted emails before they are sent from your connected email account.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

• We collect business information, chat messages, and interaction data
• We use AI to analyze your conversations for matchmaking purposes
• You can export your data at any time from Settings
• You can request permanent account deletion (GDPR right to erasure)
• Externally scraped prospect data (Sarudo Ally leads) is retained for 90 days

9. Intellectual Property

All content, features, and functionality of the Service are owned by Quint Ally and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of content you create or upload (e.g., profile information, messages).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE SERVICE. WE ARE NOT RESPONSIBLE FOR:

• The conduct of other users
• The outcomes of business connections made through the Service
• Third-party services linked from the Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUINT ALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Silver is free, so no refund arises for it; any paid membership is dealt with under the subscription terms in force at the time. Funds held in respect of an in-flight transaction are dealt with under the terms agreed for that transaction

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
